Terms of Service

1. Acceptance of Terms

Welcome to Sobolo AI ("Sobolo AI," "we," "us," or "our"), a language translation and learning platform for African languages operated by Agoo AI LLC, a California limited liability company. These Terms of Service ("Terms") govern your access to and use of our mobile application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration

3.1 Account Creation

You may create an account using your phone number (via OTP verification), or through social login providers (Google, Apple). You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 One Account Per User

Each user may maintain only one account. We reserve the right to suspend or terminate duplicate accounts.

4. Description of Service

Sobolo AI provides:

• Translation services between Ghanaian languages (Twi, Ewe, Ga, Dagbani) and international languages (English, French)
• Voice translation with speech-to-text and text-to-speech capabilities
• Language learning with structured lessons aligned to CEFR standards
• Phrasebook with categorized phrases for travel, healthcare, education, market, and social contexts
• Daily Challenges featuring phrases, proverbs, and cultural context
• Community contributions where users can submit translations, corrections, and voice recordings

The Service is provided on an "as-is" and "as-available" basis. We do not guarantee the accuracy, completeness, or reliability of any translation or language content. Translations are generated by artificial intelligence and should not be relied upon for critical communications including medical, legal, or emergency contexts.

5. Subscription Plans and Pricing

5.1 Free Tier (Sobolo Lite)

The free tier includes limited access to translation and learning features:

• 5 text translations per day
• 2 voice translations per day
• Access to beginner lessons with daily limits
• Non-intrusive banner advertisements

New users receive a 1-month unlimited trial or unlimited access until completion of the Beginner level (30 lessons), whichever comes first.

5.2 Paid Subscriptions

We offer paid subscription tiers (Lite Plus, Gold) with enhanced features including unlimited translations, ad-free experience, premium voice personas, and voice cloning. Current pricing and feature details are displayed in the app and on our website.

5.3 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually) through your chosen payment method. Payment is processed by our third-party payment processors:

• Paystack for mobile money transactions (MTN MoMo, Vodafone Cash, AirtelTigo Money) in Ghana
• Stripe for international credit/debit card payments
• Apple App Store or Google Play Store for in-app purchases

5.4 Free Trial

If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial to avoid being charged.

5.5 Cancellation

You may cancel your subscription at any time through the app settings or your payment provider's subscription management. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No partial refunds are provided for unused portions of a billing period.

5.6 Refunds

Refund requests are handled in accordance with the refund policies of the applicable payment processor (Paystack, Stripe, Apple, or Google). For direct billing through Paystack or Stripe, you may request a refund within 7 days of a charge by contacting support@agoo-ai.com. Refunds are granted at our discretion and are not guaranteed.

5.7 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of price changes. Existing subscribers will be notified before the new price takes effect on their next billing cycle.

6. Community Contributions

6.1 Community Translator Program

The Service allows users to contribute translations, corrections, validations, voice recordings, cultural context notes, and proverbs ("Contributions") through the Community Translator program.

6.2 License Grant

By submitting a Contribution, you grant Agoo AI LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your Contribution in connection with the Service, including for the purpose of training and improving our machine translation, speech recognition, and text-to-speech models.

6.3 Ownership

You represent and warrant that you own or have the necessary rights to submit your Contributions, and that your Contributions do not infringe the intellectual property rights or other rights of any third party.

6.4 Sobolo Tokens

Contributors may earn Sobolo Tokens as recognition for accepted Contributions. Tokens are a virtual point system within the Service and have no monetary value. They cannot be exchanged for cash, transferred to other users, or redeemed outside the Service except as specifically offered by us (e.g., subscription discounts). We reserve the right to modify the token system, including earning rates and redemption options, at any time.

6.5 Moderation

We reserve the right to review, edit, reject, or remove any Contribution at our sole discretion, including Contributions that are inaccurate, offensive, or violate these Terms.

7. Voice Data and Voice Cloning

7.1 Standard Voice Translation

When you use voice translation, your audio is processed in real-time to convert speech to text. Audio submitted for standard translation is not stored after the translation is delivered.

7.2 Voice Cloning ("My Voice")

The voice cloning feature (available on the Gold tier) allows you to create a personalized voice using your voice samples. By using this feature:

• You provide explicit consent to the collection and processing of your voice data
• Your voice samples are processed by our voice cloning provider (ElevenLabs) solely for creating your personalized voice
• Voice data is encrypted at rest and in transit
• You may delete your voice clone and all associated audio data at any time from within the app
• Deletion is immediate and irreversible
• Voice clones are automatically deleted after 12 months of account inactivity

7.3 Prohibited Use of Voice Cloning

You agree not to use the voice cloning feature to:

• Impersonate another person without their explicit consent
• Create deepfakes or misleading audio content
• Engage in fraud, harassment, or any illegal activity

Violation of this section may result in immediate termination of your account.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights or other rights of any third party
• Submit false, misleading, or harmful translations or content
• Harass, abuse, or threaten other users
• Attempt to gain unauthorized access to the Service or its systems
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Reverse-engineer, decompile, or disassemble any part of the Service
• Circumvent usage limits, subscription restrictions, or other access controls
• Use the Service for spam, phishing, or distribution of malware
• Submit Contributions in a language you are not proficient in

9. Intellectual Property

9.1 Our IP

The Service, including its design, features, content, software, algorithms, machine learning models, branding, logos, and documentation, is owned by Agoo AI LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it as described herein.

9.2 Your Content

You retain ownership of content you create using the Service (e.g., saved translations, learning notes), subject to the license granted in Section 6.2 for Community Contributions.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

10. Third-Party Services

The Service integrates with third-party services including payment processors, voice synthesis providers, social login providers, and analytics services. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

11. Disclaimers

11.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Translation Accuracy

WE DO NOT WARRANT THAT TRANSLATIONS PROVIDED BY THE SERVICE ARE ACCURATE, COMPLETE, OR ERROR-FREE. TRANSLATIONS ARE GENERATED BY ARTIFICIAL INTELLIGENCE AND SHOULD NOT BE USED AS THE SOLE BASIS FOR DECISIONS IN MEDICAL, LEGAL, FINANCIAL, EMERGENCY, OR OTHER CRITICAL CONTEXTS.

11.3 Availability

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SERVICE AVAILABILITY MAY BE AFFECTED BY FACTORS INCLUDING INTERNET CONNECTIVITY, WHICH MAY BE LIMITED IN CERTAIN REGIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGOO AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Agoo AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your Community Contributions.

14. Termination

14.1 By You

You may delete your account at any time through the app settings or by contacting support@agoo-ai.com. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

14.2 By Us

We may suspend or terminate your account at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

14.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms will terminate; (b) you must cease all use of the Service; (c) any outstanding payment obligations will remain due; (d) Community Contributions previously submitted will be retained in accordance with Section 6.2.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

15.2 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@agoo-ai.com and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Joaquin County, California, unless otherwise agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

15.5 Exception

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agoo AI LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
